I fully understand and agree to the following terms and conditions for marketing the Silverbox product. I agree that as an Affiliate, I shall place primary emphasis upon the sale of Vooka's product(s) to consumers. I agree to these terms and conditions and submit my application to VOOKA TECHNOLOGY, LLC. (hereinafter referred to as "Vooka"):

1. I am of legal age in the country and state/province of my residency. I agree that I am an independent contractor responsible for determining my own business activities. I am not an agent, employee or legal representative of Vooka, and will not represent in any manner that I am an agent, employee or legal representative of Vooka. I am responsible for the payment of all federal and state self-employment tax, and any other tax required in my country under any federal, state/province or regulatory taxing agency.

2. The position of Affiliate does not constitute the sale of a franchise or a distributorship. I understand that there is no cost for me to become an Affiliate and it is my intent to make my best efforts to market the Vooka products and participate in Vooka's matrix marketing plan

3. I agree that as an Affiliate, I shall place primary emphasis upon the sale of Vooka's product(s) to consumers.

4. In presenting Vooka's product(s) and the Affiliate position to prospects, I agree that such presentations shall be strictly according to the following format, and that Vooka will terminate my Affiliate position if I fail to do so: In each presentation of the Affiliate position, the prospect shall be directly informed that no product purchase is required and there is no cost to become an affiliate. Vooka's marketing program places emphasis on selling a product with substantial value and offering subscribers an income opportunity.While Vooka Affiliates are not required to purchase the SB product for personal use as a condition for earning commissions, it is a policy and standard business practices, that if an Affiliate has purchased the SB product, within 30 days it must be installed to best utilize Vooka resources.

5. In order to maintain a viable Marketing Program and to comply with changes in federal, state or local laws in economic conditions, Vooka may update this Affiliate Agreement from time to time, as well as to modify its Affiliate Compensation Plan. Such modifications, and all changes thereto, shall become a binding part of this Agreement upon publication.

6. I understand that no attorney general or other regulatory authority ever reviews, endorses or approves any company, product or Affiliate Compensation Plan, and I will make no such claim to others.

7. I understand that my Affiliate position can be inherited or bequeathed, but cannot be transferred or assigned during my lifetime without written consent of Vooka, which consent will not be unreasonably withheld.

8. I will not promote my Affiliate position, nor use Vooka's name, or the trade names, logos, sales materials, trademarks or service marks of Vooka, except in materials provided by Vooka or approved in writing by Vooka prior to their use by me. I understand that unauthorized use or duplication of trademarks or copyrighted materials is a violation of federal law. Only the official Vooka provided Affiliate replicated website or main corporate website may be used to promote Vooka product(s) or the Affiliate position use of other websites to promote Vooka products requires the prior written consent of Vooka.

9. I am responsible for supervising and supporting Affiliates that I refer into the business and in my referral organization (also know as "community"). I agree to maintain weekly communication and to support Affiliates in my community by way of any of the following or combination thereof: Personal contact, telephone communication, email, written communication, or attendance at Affiliate meetings.

10. I will not make false or misleading statements about Vooka's product(s) or the Affiliate position. Display of checks and the making of income projections to prospective Affiliates are prohibited.

11. Payment types allowed for product purchases are credit card, debit cards and ACH only. No credit purchases or C.O.D.'s available. Vooka's products are accessed by Subscribers immediately after purchase.

12. Only one Affiliate is assigned to each position in the matrix..An affiliate may purchase multiple SB subscriptions for resale or transfer of ownership to subscribers or affiliates who are also subscribers.

SB subscription is per one computer/IP address only. SB software purchased through subscription may be transferred to various PC/IP addressed, but will only be installed and operational on one IP address at a time due to security of original installation key code.

13. Affiliate lists and names are owned by Vooka and may never be used for any commercial purpose without prior written consent of Vooka. During the term of this Agreement and for one (1) year thereafter, Affiliate shall not, directly or indirectly, solicit Affiliates of Vooka in regard to any other similar organization within the same general industry, except as to personally referred Affiliates.

14. Subscribers may cancel the Silverbox product within fourteen (14) days of purchase and receive a 100% refund. Vooka will honor longer time periods provided by any state or federal law applicable to Affiliate. Please note that not installing the Silverbox on your computer does not entitle you to a refund once out of the 14 day money back guarantee time frame.

15. As An Affiliate, I will read and completely abide by Vooka's ANTI-SPAM policy as posted on Vooka's website and completely abide by Vooka's PRIVACY policy as posted on Vooka's website

16. I will read and completely abide by Vooka's PRIVACY policy as posted on Vooka's website.

17. I understand that any violation of these Policies and Procedures may result in suspension or termination of my Affiliate position at Vooka's sole discretion.

18. This Agreement is governed by the laws of Texas. The parties agree that any claim, dispute or other difference between them shall be exclusively resolved by binding arbitration pursuant to the Commercial Arbitration Rules of the American Arbitration Association with arbitration to occur at Dallas County, Texas.

19. This Agreement shall be deemed in effect upon an Affiliate's completion of the registration process on Vooka's website.

20. Affiliates have a right to cancel at any time, regardless of reason. Cancellation can be submitted to support@vooka.com or use our cancel page. Once an affiliate secures a specific matrix position, the affiliate can not change the method of qualification to maintain that position.

21. Affiliates must maintain a current email address and receive our affiliate emails.

22. Before cancellation, you must recover your data from Backup Storage. Vooka is not responsible for data after cancellation.

THE INFORMATION ON VOOKA'S WEBSITE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

3. The information on Vooka's website may contain technical inaccuracies or typographical errors. This information may be changed or updated without notice. Vooka may also make improvements and/or changes in the products and/or the services described on Vooka's website and information at any time without notice.

4. Any comments or materials sent to Vooka, specifically about this site including feedback data, such as questions, comments, suggestions, or the like regarding the content of any such pages, links or documents (collectively "Feedback"), shall be deemed to be non-confidential. Vooka shall have no obligation of any kind with respect to such Feedback and shall be free to reproduce, use, disclose, exhibit, display, transform, create derivative works and distribute the Feedback to others, without limitation. Furthermore, Vooka shall be free to use any ideas, concepts, know-how or techniques contained in such Feedback for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products or services incorporating such Feedback.

5. The information on Vooka's website may contain references or cross references to programs and services that are not announced or available in your country. Such references do not imply that Vooka intends to announce such products, programs or services in your country.

6. Vooka makes no representations whatsoever about any other website, which you may access through Vooka's website. When you access a non-Vooka website, please understand that it is independent from Vooka, and that Vooka has no control over the content on that website. In addition, a link to a non-Vooka website does not mean that Vooka endorses or accepts any responsibility for the content, or the use, of such website.

7. It is up to each Subscriber to take precautions to ensure that whatever Affiliate selects for their use is free of such items as viruses, worms, Trojan horses and other items of a destructive nature.

8. Affiliate agrees to abide by all applicable local, state, national and foreign laws, treatises and regulations in connection with Backup Storage. In addition, without limitation, Affiliate agrees not to use Backup Storage to process Prohibited Content. Generally, Prohibited Content includes content or other material that Vooka believes:

1. Is abusive, deceptive, pornographic, obscene, defamatory, slanderous, offensive, or otherwise inappropriate.
2. Comprises copyrighted material used without the express permission of the owner.
3. Violates or encroaches on the rights of others.
4. Contains viruses, worms, corrupt files, Trojan horses and other forms of corruptive code, or any other content which may compromise Backup Storage.
5. Advocates illegal activity.
6. Harms anyone, including minors.
7. Provides a link to any of the above.

9. Vooka reserves the right to change or modify the Terms & Conditions at any time.

10. IN NO EVENT WILL VOOKA OR ITS MEMBERS, BE LIABLE TO ANY PARTY OR ANY DIRECT, INDIRECT, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES FOR ANY USE OF THIS WEBSITE, OR ON ANY OTHER HYPERLINKED WEBSITE, INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS OR REVENUE, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM OR OTHERWISE, EVEN IF WE ARE EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

************* SILVERBOX MARKETING PROGRAM **************

1. Vooka's product, the Silverbox (hereinafter referred to as "SB") is sold to the customer/end user as a monthly subscription product. The monthly cost is $29.99. The product includes the License, all registration, activation, and necessary set up costs to establish SB service and set up Virtual Back-up Account on Vooka servers. Service entitles the user to all updates and enhancements to the SB product. The SB product can be transferred to any computer owned by the customer. The subscription includes 7 robust Internet privacy and security features in one automated console. The cost to establish an individually encrypted back-up account on Vooka servers and ongoing “in-house” customer support is included in the License feature of the product. Vooka also makes available the Affiliate Business Builder Package that includes the Silverbox subscription and Affiliate marketing tools, robust back office commission tracking and the Powerline for a monthly cost of $39.99. The Business Builder Package is designed to provide marketing support and access to various services to assist affiliates in their business development. Only the Silverbox subscription price is commissionable.

2. Affiliate acknowledges that he/she has read and understands the standard Vooka affiliate terms and conditions.

Affiliate agrees to work toward qualification adhering to the standard Vooka terms and conditions of good business practices and commits to utilize all marketing tools and opportunities that Vooka provides.

3. Qualified affiliates have the opportunity to earn commissions in a 2x20 forced matrix plan.

4. Personal Sales Commissions: A one-time commission of $20.00 (US) is payable to Affiliates for every SB subscriber personally referred with the exception of the new affiliate’s first SB sale, which generates this $20 commission to the affiliates’s sponsor. Each personal sale also generates a residual commission of $3 monthly to the selling affiilate.

Commission Qualification and Progression:

step1- become activated with one (1) personally referred SB subscriber during the 30 day activation period. If not activated during the 30 day period, the affiliate is removed from the matrix. Re entry for subsequent 30 day periods is allowed with the same criteria . After activation, an affiliate is eligible to earn a $20 one-time, first month commission on all personal SB subscriber sales. An activated Basic Affiliate also is eligible to ean residual bonus commissions of $3 monthly on personally referred SB subscribers and a Team Builder residual commission of $7 monthly on the sales made by personally referred affiliates.

step2- After activation, Basic Affiliates may qualifiy for Marketing Affiliate Matrix Residual Commissions, by maintaining a minimum of two (2) personally referred SB subscribers. Qualified Marketing Affiliates earn monthly residual commissions of $3, $7 or 50¢ on all SB Subscriptions through 10 levels of their matrix. Mantaining two personal SB subscriptions sales also secures the matrix position to benefit from spillover and upward compression placement of other affiliates and subscribers.

step3- Become a Success Builder by maintaining Secured Marketing Affiliate Status and either of two options: (a) personally referring and maintaining a minimum of three downline affiliates who also are Secured Marketing Affiliates OR (B) Personally referring and maintaining 10 SB subscription sales. Success Builders are qualified to earn monthly residual commissions of $3, $7 or 50¢ on all SB Subscriptions through 13 levels of their matrix.

All qualification sales are considered cumulative total sales.

5. Affiliates may also earn $3, $7 or 50¢ residual commissions on SB subscribers that are on matrix levels deeper than 13 by qualifying for the Director Level. To achieve the Director level, an affiliate must be a fully qualified Success Builder and complete and maintain either of two options:

(A) personally refer and maintain a cumulative total of fifteen (15) SB subscriptions sales or

(B) maintain a total of Five (5) Personally Referred Fully Qualified downline Success Builders.

6. The qualifications to attain the Executive Level are to maintain Director status and satisfy either of two options:

(A) personally refer and maintain a cumulative total of twenty (20) personally referred SB Sales (three must be pure customer – non affiliate subscribers)

or (B) maintain a cumulative total of ten (10) personally referred downline affiliates that have achieved Success Builder Status.

6. The qualifications to attain the Silver Vision Executive Level are to maintain Executive status and satisfy either of two options:

(A) personally refer and maintain a cumulative total of twenty (30) personally referred SB Sales ( three must be pure customer – non affiliate subscribers)

or (B) maintain a cumulative total of fifteen (15) personally referred affiliates that have achieved Director Status.

8. “Non – Affiliate” SB subscribers. These are subscribers who are not participating in the Affiliate Compensation Program .

9. Sales Commissions are paid no less frequently than once a month before the 15th day of the month for the commissions earned the month prior. Commissions for the month must total at least twenty dollars before a check will be sent. If twenty dollars is not earned within the first month, the commission will be added to the next month's commissions until twenty dollars is accrued. Vooka reserves the right to apply an administrative charge not to exceed $3 for processing commissions. A commission month starts on the first of the month starting in the morning at 12:00AM CST, and ends the last day of the month in the evening at 11:59:59PM CST.

10. Any ancillary fees or discounts of Vooka products are non-commissionable.

************ EARNINGS AND INCOME DISCLAIMER *************

1. Vooka will make every effort to ensure that it accurately represents products, services, and the potential for income through Vooka's Affiliate commission plan. Earning and Income statements made by Vooka and its customers are estimates of what Vooka thinks Affiliates can possibly earn. There is no guarantee that Affiliates will make these levels of income, and Affiliates accept the risk that the earnings and income statements differ by individual.

2. As with any business, Vooka Affiliates' income results may vary, and will be based on individual capacity, business experience, expertise, and level of desire. There are no guarantees concerning the level of success Affiliates may experience. The testimonials and examples used are exceptional results, which do not apply to the average Affiliate, and are not intended to represent or guarantee that any Affiliate will achieve the same or similar results. Each Affiliate's success depends on his or her background, dedication, desire and motivation.

3. There is no assurance that examples of past earnings can be duplicated in the future. Vooka cannot guarantee Affiliate's future results and/or success. There are some unknown risks in business and on the internet that Vooka cannot foresee which can reduce results. Vooka is not responsible for the success or failure of the affiliate.

4. The use of our information, products and services should be based on each Affiliate's own due diligence and Affilate agrees that Vooka is not liable for any success or failure of Affiliate's business that is directly or indirectly related to the purchase and use of our information, products and services.
